Terms of Use
SysEnerg User Acceptance Testing Services
1. Agreement to Terms
Welcome to SysEnerg's user acceptance testing coordination platform. By accessing our website at sysenrg.com or engaging with our services, you enter into a binding agreement with SysEnerg, located at No. 109號, Fuxing Rd, Zhongshan District, Keelung City, Taiwan 20348.
These terms govern your relationship with us and outline the expectations we have for each other. If you disagree with any part of these terms, please discontinue use of our services immediately.
2. Service Description
SysEnerg provides user acceptance testing coordination services, helping businesses plan, execute, and manage UAT processes effectively. Our services include:
- UAT strategy development and implementation planning
- Test coordination between stakeholders and development teams
- Documentation management for testing processes
- Quality assurance consultation and guidance
- Training programs for internal testing teams
Our services focus on coordination and strategy. We do not guarantee specific testing outcomes, software performance levels, or project timelines, as these depend on various factors beyond our control including client resources, project complexity, and third-party systems.
3. User Responsibilities
Account Management
You're responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.
Accurate Information
Provide accurate, complete information when engaging our services. Inaccurate project details or requirements can significantly impact service quality and project outcomes.
Compliance Requirements
- Follow all applicable laws and regulations in your jurisdiction
- Respect intellectual property rights of all parties involved
- Maintain appropriate data security measures for sensitive information
- Provide timely feedback and responses during active projects
4. Intellectual Property Rights
Our methodologies, documentation templates, and proprietary testing frameworks remain SysEnerg's intellectual property. You receive a limited license to use these materials solely for projects we're actively managing together.
Any improvements or modifications you suggest to our processes may be incorporated into our general methodology. We appreciate collaboration and will acknowledge significant contributions appropriately.
5. Privacy and Data Protection
Data Collection
We collect information necessary to provide our services effectively, including project requirements, contact details, and testing-related data you share with us.
Data Usage
Your data helps us deliver personalized service and improve our testing methodologies. We never share client-specific information without explicit permission, though we may use anonymized insights to enhance our general approaches.
As a Taiwan-based company, we comply with local privacy regulations and maintain appropriate data protection standards. International clients benefit from these same protection levels.
6. Payment Terms and Conditions
Payment terms are established individually for each project based on scope and duration. We typically work with milestone-based payments that align with project deliverables.
Late payments may result in service suspension after a reasonable notice period. We prefer to work collaboratively on any payment challenges rather than immediately escalating issues.
7. Service Limitations and Disclaimers
Performance Expectations
While we bring significant expertise to every project, testing outcomes depend on many factors including software quality, team cooperation, and project constraints. We coordinate processes but cannot control all variables affecting final results.
Technical Limitations
- Our services depend on reliable internet connectivity and compatible systems
- We may experience occasional service interruptions for maintenance or technical issues
- Third-party integrations may affect service availability or functionality
- Complex projects may require additional time for proper coordination
8. Termination of Services
Either party may terminate our agreement with reasonable notice, typically 30 days for ongoing projects. We'll work together to ensure smooth transitions and proper documentation handover.
Immediate termination may occur if either party fails to meet fundamental obligations or engages in behavior that undermines the professional relationship.
9. Limitation of Liability
Our liability is limited to the direct costs of services provided. We're not responsible for indirect damages, lost profits, or consequential losses that may arise from project outcomes or service interruptions.
This limitation reflects the collaborative nature of UAT coordination, where success depends on multiple parties working effectively together.
10. Dispute Resolution
We prefer resolving any disagreements through direct discussion and good faith negotiation. Most issues can be addressed through clear communication and mutual understanding.
If formal resolution becomes necessary, disputes will be handled according to Taiwan's legal framework, given our location in Keelung City.
11. Updates to These Terms
We may update these terms periodically to reflect service changes or legal requirements. Significant changes will be communicated directly to active clients, with reasonable notice before implementation.
Minor updates for clarity or accuracy may be made without individual notification, though we'll always maintain the current version date at the top of this document.
